301 Redirect And Passing Pr

I have around 25 pages with approx. 380 backlinks to them.

I want to change the page extention as part of site update. (I have to do it, because I can not use much integration of other parts of website into these .html pages)

1. If I 301 redirect, the PR will be passed to new page? (Basically same page. just extention change to .php from .html)

2. Still this backlinks will be counted by Google?
