Would the 2 above be considered different by SEs? Are there any other drawbacks we should consider in using the 2nd version?

It's a problem if both URLs result in the same page of content, and you allow both URLs to be indexed by the search engines.
Ideally, you want to provide search engines with only one URL to any piece of content.

Thanks Jill. What's the best way to prevent it from being a problem? keep one from being indexed, redirect one to the other, etc?

We've had a number of threads over the years on this subject where the recommendations is to redirect the tracking URLs to the plain vanilla URLs, while catching the referral data in between. I'm not familiar with the technology to do so, but there are other threads, probably in our 301 Redirect Forum. I think Chrishirst and or Randy have discussed it.
