2 Domains Or Just One?

I think I know the answer to this one-but I value your advice as I could be wrong
My client has one domain that is active. He also has a second domain that is currently being forwarded by a js redirect to the active site. To clarify-the domains belong to one company that has two names/divisions.
What would be better for the engines:
-Keep domain1 active as it is now and have the other domain forward to it with a direct forward by the registrar (no frames or metas-just direct). This way only domain1 would keep meta tags and optimization for both companies.
-Keep domain1 active and activate domain2 with only a main web page optimized for that company's division-but all the links will point to domain1 as this is where the info is...
Which would you recommend? Any other options?

Thanks for the info I always include that link as you never know-I have one client who registers lots of N3 and IE3 people!!!
I woule prefer to just maintain one site. I am just wanting to try and get them as much search engine coverage, while not making them mad-this would not be good.
